1. Services
Meridians LLC provides digital services: website design and development, Shopify store setup, search engine optimisation (SEO) audits and banner design. Each package on our Services page describes its deliverables, price, delivery time and number of revision rounds. That description, together with these Terms, forms the agreement for a package order.
Custom projects are governed by a written quote (scope, price, timeline and revisions) sent by email. Paying the deposit means you accept the quote and these Terms.
2. Prices and payment
- All prices are in US dollars (USD).
- Fixed packages are paid in full at checkout.
- Custom projects require a 50% deposit before work starts. The balance is due before the final files or access are handed over.
- Payments are processed by Shopify and its payment providers. We never see or store your full card details.
- Card statements show MERIDIANS LLC.
- Prices do not include third-party costs, such as domain names, hosting, Shopify plans, paid apps, paid themes, fonts or stock images. These are paid by you, directly to the provider.
- You are responsible for any taxes or bank fees that apply in your country.
3. Client responsibilities
To deliver on time, we need from you:
- a completed project brief;
- your content (texts, images, logos, product data) in usable form;
- any access required (for example a Shopify staff account or hosting login);
- timely feedback, normally within 5 business days of each delivery.
Delivery times start when the brief and content are received. Delays in providing content or feedback extend the timeline accordingly. If a project is paused for more than 30 days because of a lack of response from you, we may treat it as delivered in its current state, or close it under the Refund & Cancellation Policy.
You confirm that you own, or have permission to use, all content you provide, and that it does not infringe any third-party rights or applicable law.
4. Revisions
Each package includes the number of revision rounds listed on its page. A revision round is one consolidated list of changes, sent in a single message. Requests outside the agreed scope (new pages, new features, or a change of direction after design approval) are quoted separately before any work is done.
5. Delivery and acceptance
All deliverables are digital. They are sent by email or shared folder, or set up directly on your own platform account. Nothing is shipped. A deliverable is considered accepted when you approve it in writing, or 10 business days after final delivery if you have not requested changes within your remaining revision rounds.
6. Intellectual property
- Once the order is paid in full, you own the final deliverables created specifically for you, such as designs, page layouts, and custom code written for your project.
- Third-party elements (themes, plugins, apps, fonts, stock images, open-source code) stay under their own licences. You must comply with those licences.
- We keep ownership of our pre-existing tools, code snippets and know-how. You receive a perpetual, non-exclusive licence to use them as part of your deliverables.
- Unless you ask us not to in writing, we may show the finished work in our portfolio, without revealing confidential information.
7. Confidentiality
We keep the non-public information you share with us confidential and use it only to deliver your project. Access credentials are used only for the agreed work. We recommend that you change them once the project is complete.
8. Cancellation and refunds
Cancellations and refunds follow our Refund & Cancellation Policy, which is part of these Terms.
9. No guaranteed results
We deliver the services described with professional care. We do not guarantee specific business results, such as rankings in search engines, traffic, sales or revenue, which depend on factors outside our control.
10. Limitation of liability
To the maximum extent permitted by law, the total liability of Meridians LLC for any claim related to an order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses, such as lost profits, lost data or business interruption. We are not responsible for failures or changes in third-party platforms (Shopify, hosting providers, apps) or for content you supply.
11. Eligible clients
We work with business clients worldwide. We do not provide services to persons or entities in countries, or on lists, subject to US sanctions (including OFAC sanctions). We may refuse or cancel an order, with a full refund, if we cannot legally provide the service.
12. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. Before starting any formal dispute, please contact us so we can try to resolve the issue. We reply within 2 business days. Any dispute that cannot be resolved amicably will be submitted to the competent courts of the State of Colorado.
13. Changes
We may update these Terms. The version published at the time of your order applies to that order.
